What actually determines the price of a private business

Price Drivers

All insights

Ask ten owners what their business is worth and you’ll hear ten multiples of earnings. Multiples are real, but they are the output of a valuation conversation, not the input. What actually moves price in a private business sale is a shorter and more practical list.

Earnings quality comes first. Buyers don’t pay for profit; they pay for profit they believe will continue without you. Earnings that are recurring, contracted, diversified across customers and demonstrably not dependent on the owner’s personal relationships command stronger prices than the same headline number built on one large customer and the founder’s mobile phone.

Transferability is the quiet multiplier. A business that runs on documented systems, a capable second tier of management and clean contracts is worth more than an identical business that runs on the owner’s memory. Every hour a buyer expects to spend rebuilding what walks out the door at completion is priced in against you.

Information quality sets the tone. Financial statements that reconcile, records that can be produced on request, and a structure without loose threads tell a buyer this will be a clean transaction. Poor information doesn’t just slow a deal it invites price revision, because uncertainty is always priced conservatively by the person paying.

Competitive tension does the rest. The single most reliable way to discover what a business is worth is to have more than one credible party want it. A well-run process creates the conditions for that tension honestly with the right counterparties, approached in the right sequence, and the opportunity framed the way an acquirer needs to see it.

And then there’s the deal structure. Headline price is one number in a system of completion adjustments, earn-outs, retained liabilities, and transition terms that can move the real outcome materially in either direction. Two offers with the same headline can be a million dollars apart in practice.

The practical conclusion for owners is optimistic, most of these drivers are improvable, given time. Which is why the price of a business is substantially determined in the years before the sale process begins and why preparation is the highest-return work in any transaction.
